Diana Vougessis
is a partner of Machas & Partners Law Firm, specializing in capital markets and banking and finance. Ms. Vougessis has extensive experience in representing a wide variety of clients in cross-border mergers and other acquisition transactions. For several years, Ms. Vougessis worked as legal counsel for a major concession company in Greece, and handled a number of concession and PPP projects, as well as construction contract matters.

She is admitted to practice before the first degree and appellate courts of Athens.

Ms. Vougessis has successfully acted for:

  • The National Bank of Greece in connection with the € 653m transfer to Invel Real Estate II BV of an aggregate 66% stake in its wholly owned subsidiary NBG Pangaea REIC;
  • A leading Greek Group of companies in relation to a M&A transaction for the acquisition of a wind park from an international wind parks’ developer;
  • Numerous Greek and foreign entities in respect to cross-border M&A transactions, including the M&A project of an international conglomerate;
  • Greek and European Banks in respect to the financing of various projects, including financing through European Structural Funds;
  • A major player in the retail sector in a complex business cooperation agreement with a telecommunications company;
  • An international telecommunications company with regard to its licensing by the Telecoms Regulatory Authority and the compliance of its operations to the telecommunications regulation since 2005;
  • A concession company established for the financing, construction and operation of a BOT development;
  • One of the major players in concessions and PPP projects, with regard to various PPP projects, including the financing of the projects by bond syndicates;
  • Numerous Greek companies with regard to Initial Public Offerings (IPO) and listings in the Athens Stock Exchange, as well as private placements;
  • A major international retail company with regard to its real estate contracts;
  • Various Greek and international entities with regard to conduct of legal due diligence.

Ms. Vougessis holds a law degree from the Law School of the University of Athens (1998) and an LL.M. Degree in banking and finance from King’s College London, University of London (1999). She is a member of the Hellenic Association of Commercial Lawyers and the Athens Bar since 2000. She speaks Greek, English and French.
