Ioannis Charalampopoulos is Partner and Head of the Corporate/Commercial and M&A team of Machas & Partners. Ioannis specializes in Corporate law and advises in a wide range of corporate and finance transactions. His expertise includes public and private M&As, disposals, demergers, joint-ventures, restructurings, corporate governance and regulatory compliance, with a particular focus on complex cross-border transactions and bond loan agreements, as well as project finance transactions with focus on the sector of renewable energy. Ioannis has also a particular interest in innovative start-ups and collective investment schemes and provides comprehensive legal advice in the structuring of venture capital funds and other alternative investments funds.

Ioannis provides the firm’s clients with on-going legal advice on everyday operational, organizational, financing and investment matters, including the structuring and handling of cross border services and the negotiation of bespoke shareholders and commercial agreements.

Among other things, Ioannis advises clients in connection with the acquisition of projects in Greece, including entry and exit strategies, regulatory and legalization matters, issues related to financing, incentive legislation, schemes for the upstream flow of revenue to the investors and structuring of side agreements.

As a member of the firm’s legal team, Ioannis represented the Hellenic Republic Asset Development Fund (HRADF) in its capacity as seller in the drafting of the Partition and Surface Rights Establishment Deed, the Conveyance Deed, the State Direct Agreement, the Deferred Payment Bond for an amount of up to EUR 349,191,349, as well as the Share Transfer Agreement for the sale and transfer of the entire share capital of Hellinikon S.A. at an aggregate purchase price of EUR 915,000,000. He also participated in the firm’s representation of an international boutique hotel chain with regards to the issue of four cross-collateralized corporate bond loans of an aggregate nominal value exceeding EUR 24 Million.
