The transactional experience of Machas & Partners’ lawyers and the breadth of our practice have allowed us to maintain a leadership position, representing a broad array of public and private, local and foreign companies, private equity firms and financial sponsors, investment banks, governmental entities, and other institutions and individual investors in every type of M&A situation.

We regularly advise companies and their boards on acquisitions, merging, being acquired or fending off hostile takeovers. Our lawyers bring an understanding and appreciation for our clients’ business needs to every deal, and the firm measures its success on our ability to meet and exceed those needs. Our M&A team draws on the full resources of the firm as needed in a given transaction, and, regularly coordinates efforts with our leading corporate, securities, finance, antitrust and tax lawyers.

We have advised:

  • a leading domestic real estate investment company is its €37,5m acquisition of an Italian closed-end speculative real estate investment fund, in the context of diversification of client's investment portfolio. (January 2014)
  • a leading food supply and supermarket corporate in connection with the spin-off of its retail business and subsequent acquisition of the same by an industry peer. (January 2014)
  • National Bank of Greece in connection with the €653m sale to Invel Real Estate (Netherlands) II BV of a 66% stake in its wholly owned subsidiary NBG Pangaea REIC. Implementation of this complex transaction, the largest M&A deal in Greece in 2013, has required the granting of approvals by national and European authorities including the Hellenic Financial Stability Fund, the European Commission DG Comp and the Hellenic Capital Markets Commission. Morgan Stanley acted as financial adviser to NBG. (December 2013)
  • Hellenic Petroleum Renewable Energy Sources S.A. in its €5.5m acquisition of Energiaki Pylou-Methonis S.A., owner of a 6.8MW operating wind farm, the first wind farm to be acquired by the Hellenic Petroleum group of companies. (November 2013)
  • in the context of the restructuring of the Greek banking sector, Monarch Alternative Capital LP, a leading US distressed fund, in connection with its submission of a bid in the public tender conducted by the Hellenic Financial Stability Fund for the sale of its 100% participation in a domestic credit institution. (July 2013)
  • a leading U.S. based hedge fund in relation to a complex c. €100m attempted private placement of securities to be issued by a major Greek listed company, leader in the constructions and energy industry. (May 2013)
  • Olympia Development S.A., member of Germanos Group of companies, in connection with its €100m acquisition of a 10% stake in Wind Hellas Telecommunications S.A. and the implementation of a long-term cooperation arrangement with the same. McDermott Will & Emery LLP acted as UK legal counsel to client and Freshfields Bruckhouse Deringer LLP acted as legal counsel to the target. (September 2012)
  • Samsung Electronics S.A in relation to its multi-million euro acquisition of Nanoradio Hellas S.A., a domestic corporate specializing in integrated circuits. (August 2012)
